These terms govern the use of the UpConfirm platform, a SaaS service for automatic COD (Cash on Delivery) order confirmation via WhatsApp, operated by UPCONFIRM LLC.
1. Service Description
UpConfirm is a platform that automates COD order confirmation via WhatsApp. The service includes: automatic WhatsApp confirmation messages, an order management CRM, an analytics dashboard, integration with e-commerce platforms (Shopify, YouCan, WooCommerce) and Moroccan delivery companies.
2. Eligibility
To use UpConfirm, you must: • Be at least 18 years old • Have a valid business activity • Provide accurate information during registration • Comply with applicable laws in your jurisdiction
3. Account and Responsibilities
You are responsible for: • The confidentiality of your login credentials • All activity performed under your account • The accuracy of the information provided • The content of messages sent to your customers through our platform
4. Acceptable Use
You agree not to: • Send spam or unsolicited messages • Use the service for illegal products or services • Violate WhatsApp / Meta Business policies • Attempt to compromise platform security • Resell or sublicense access to the service
5. Pricing and Billing
Prices are displayed on our website in Moroccan Dirham (MAD). Payments are securely processed via Stripe. We reserve the right to modify our prices with 30 days' email notice.
6. Free Tier and Promotions
• The free plan includes 25 free AI confirmations, with no commitment and no credit card required • Manual confirmations via the CRM are always free and unlimited • Promotional offers are subject to specific conditions stated at the time of announcement • UpConfirm reserves the right to modify or remove promotional offers at any time
7. Refund and Cancellation
Our service includes two components: a subscription (platform access, CRM, returns management, dashboard) and DH credits consumable per AI confirmation. • Subscription: you can cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. Subscription fees already charged are non-refundable. • AI Credits: upon cancellation, the remaining unused credit balance is refundable. Refunds are processed within 14 business days of the request. • Credits already consumed (AI confirmations performed) are non-refundable. • In case of a billing error on our part, a full refund is issued. • For any request, contact contact@upconfirm.com.
8. Intellectual Property
UpConfirm and all its components (software, design, brand, content) are the exclusive property of UPCONFIRM LLC. You retain all rights to your data and the content you provide through the platform.
9. Limitation of Liability
The service is provided "as is". UpConfirm does not guarantee uninterrupted or error-free operation. Our liability is limited to the amount of fees you have paid in the last 12 months. We are not liable for indirect, consequential, or punitive damages.
10. Termination
You may terminate your account at any time. We may suspend or terminate your access: • With 30 days' notice for any reason • Immediately in case of violation of these terms Upon termination, your data will be retained for 30 days and then deleted.
11. Payment Security
All payments are processed via Stripe, a PCI DSS Level 1 certified payment processor. We do not store, process, or have access to your full credit card numbers. Communication between your browser and Stripe is encrypted via HTTPS/TLS. Our website uses an SSL certificate to protect all data in transit.
12. Client Data Confidentiality
Your customers' data (order information, WhatsApp conversations, contact details) is strictly confidential. We never share one merchant's customer data with another merchant. Your customers' data is only used to provide the order confirmation service and is never exploited for other commercial purposes.
13. WhatsApp / Meta Compliance
By using UpConfirm, you agree to comply with WhatsApp Business and Meta policies, including: • Obtaining explicit consent from your customers before sending WhatsApp messages • Not using the service to send spam or unsolicited messages • Honoring your customers' opt-out requests • Not sharing sensitive data (credit card numbers, social security numbers) via WhatsApp messages
14. Governing Law
These terms are governed by the laws of the State of Wyoming, United States. Any dispute shall be subject to the exclusive jurisdiction of the courts of the State of Wyoming.
